Terms of Service

Welcome to Gagyoai. By accessing our website, uploading data, or using our automated voice verification services (the "Service"), you ("Client," "User") agree to be bound by these Terms of Service.

1. The Service

Gagyoai provides an AI-driven Agent-as-a-Service platform designed for lead qualification, data verification, and outbound communication. The Service is provided as a subscription or usage-based software solution.

2. Intellectual Property & Ownership

• Gagyoai Ownership: Gagyoai retains all rights, titles, and interests in the Service. This includes, but is not limited to, the source code, AI model orchestrations, voice synthesis logic, vector database configurations, and any "custom features" or "customizations" developed by Gagyoai, even if based on Client’s requirements or feedback.
• No Transfer of Rights: Use of the Service does not constitute a "Work for Hire." No intellectual property rights are assigned or transferred to the Client.
• License to Use: Gagyoai grants the Client a limited, non-exclusive, non-transferable, and revocable license to access the platform solely for the Client’s internal business operations during the term of the agreement.

3. Client Data & Privacy

• Client Ownership: The Client retains all ownership rights to any contact lists, lead details, or specific call scripts uploaded to the platform ("Client Data").
• Processing License: The Client grants Gagyoai a worldwide, royalty-free license to host, store, and process Client Data strictly for the purpose of providing the Service.
• Data Deletion: Upon termination of the Service, the Client may request the deletion of their Client Data, subject to Gagyoai’s standard data retention and backup policies.

4. Feedback & Feature Requests

If the Client provides Gagyoai with any suggestions, requirements, or feedback regarding the Service, the Client hereby grants Gagyoai a perpetual, irrevocable, royalty-free, and worldwide license to use, modify, and incorporate such feedback into the Service for all users without any obligation or compensation to the Client.

5. Compliance & Use Restrictions

• Legal Compliance: The Client is solely responsible for ensuring that their use of the Service (including outbound calling) complies with all applicable laws, including but not limited to the TCPA, GDPR, and STIR/SHAKEN regulations.
• Prohibited Use: The Client shall not attempt to reverse-engineer, decompile, or extract the source code of the Gagyoai platform.

6. Limitation of Liability

Gagyoai provides the Service on an "as-is" basis. Gagyoai shall not be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the Service.
